Terms of Service

These Terms of Service ("Terms") govern access to and use of the applications, websites, integrations, and services provided by ZG Consult ("ZG Consult," "we," "us," "our"), including any application that connects to third-party platforms such as LinkedIn on a User's behalf (collectively, the "Services"). By using the Services, you ("you," "User") agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility and Accounts

• You must be at least 18 years old and able to form a binding contract to use the Services.
• If you accept these Terms on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and the organization.
• You are responsible for maintaining the confidentiality of any credentials used to access the Services and for all activity under your account.

2. Description of Services

ZG Consult provides marketing analytics and reporting Services. Where you authorize it, our applications may connect to third-party platforms (including LinkedIn) via OAuth 2.0 to retrieve performance and analytics data on your behalf for the limited purpose of generating reports and dashboards you have requested.

3. Authorization and Third-Party Platforms

• You expressly authorize ZG Consult to access, on your behalf, the data made available through the third-party APIs you connect to the Services.
• You represent that you have the right to authorize that access and to permit ZG Consult to process the resulting data for the purposes described.
• You may revoke that authorization at any time as described in our Privacy Policy.
• Use of third-party platforms remains subject to those platforms' own terms (for LinkedIn, see the LinkedIn User Agreement).

4. Acceptable Use

You agree not to:

• Use the Services in violation of any applicable law or regulation, or any third-party platform's terms.
• Use the Services or any data obtained through the Services for advertising, advertising targeting, eligibility decisions (credit, insurance, employment, housing, or similar), surveillance, or to facilitate biased or discriminatory practices.
• Attempt to access data outside the scope of what you have authorized or what is required to deliver the Services.
• Reverse engineer, decompile, or attempt to derive the source code of the Services, except where permitted by law.
• Interfere with, disrupt, or attempt to gain unauthorized access to the Services or related systems.
• Resell, sublicense, or otherwise commercialize access to the Services without our prior written consent.

5. Data and Privacy

Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. Where we process personal information on your behalf as a processor, you remain the controller of that data and are responsible for the legal basis for processing.

6. Intellectual Property

• The Services, including all software, designs, and content (excluding User data and third-party platform content), are owned by ZG Consult and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services as permitted by these Terms.
• You retain all rights in your own data and content. You grant us a limited license to process that data solely to provide the Services to you.
• Data accessed through third-party platform APIs remains subject to the rights of the platform and the underlying members or accounts.

7. Fees

If a particular Service is offered for a fee, the applicable fees, billing terms, and refund policy will be presented at the time of purchase or in a separate written agreement. Unless otherwise stated, fees are non-refundable except as required by law.

8. Confidentiality

Each party agrees to protect the other party's non-public information disclosed in connection with the Services with at least the same degree of care it uses to protect its own confidential information of similar sensitivity, and in no event with less than reasonable care.

9. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, ZG Consult disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising out of course of dealing or usage of trade. We do not warrant that the Services will be uninterrupted, error-free, or that any data provided through third-party platforms will be accurate or complete.

10. Limitation of Liability

To the maximum extent permitted by law, in no event will ZG Consult be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities, arising out of or in connection with these Terms or the Services. Our total cumulative liability arising out of or in connection with these Terms and the Services will not exceed the greater of (a) the amounts paid by you to ZG Consult for the Services in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).

11. Indemnification

You agree to defend, indemnify, and hold harmless ZG Consult and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Services; (b) your violation of these Terms; or (c) your violation of any third-party right, including any intellectual property, privacy, or contractual right.

12. Termination

• You may stop using the Services at any time. To request deletion of your data, contact us as described in the Privacy Policy.
• We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms, or if continued provision of the Services is no longer commercially or legally feasible.
• Sections that by their nature should survive termination (including Sections 4, 6, 8–11, and 13) will survive.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Arizona, USA, without regard to its conflict of laws rules. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to personal jurisdiction in those courts. This provision does not deprive you of any mandatory consumer protections of your country of residence.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. If changes are material, we will provide a more prominent notice. Your continued use of the Services after the updated Terms take effect constitutes acceptance of the changes.
